Article 1 - SCOPE OF APPLICATION
These General Terms and Conditions of Sale (GTCS) govern the relationship between IES LABO (the seller) and its customers (buyers).
Any order implies acceptance of the following terms and conditions, which take precedence over all other documents such as catalogs or brochures.
Article 2 - ORDERS
2.1. The purchaser undertakes to forward to the seller, prior to the seller's price offer, his specifications including, in particular, his constraints, including health, production and packaging constraints, in order to enable the seller to formulate his offer accordingly.
Failing this, the seller will submit an offer according to its own terms and conditions for all the above-mentioned areas, without the buyer being able to request any modification.
The packaging proposed by default by the seller will be the most suitable for the volume ordered. Any other request must be specified by the purchaser at the time of order, and may be subject to additional pricing.
2.2. The seller's price quotations are only binding once the order has been confirmed by the seller.
The minimum order required per reference, for references in the IES LABO catalog, is 5 kg (except for certain solid products, where the minimum will be specified by the sales representative). For non-catalog and "made-to-measure" products, the minimum order will be defined by the sales representative.

Cancellations or modifications confirmed by the seller four working days before the dispatch date will not be accepted under any circumstances.
Article 3 - DELIVERY
3.1 Unless otherwise agreed, deliveries are made under the Incoterm Ex-Works ORAISON (04700).
Free delivery is granted for all orders over 100 kg (references can be added together to reach 100 kg, except for materials costing less than €5/kg).
No additional insurance will be taken out over and above our carriers' standard insurance unless expressly requested by the purchaser; additional insurance may be taken out on request and at the purchaser's expense.
3.2 In the event of damage or shortages, it is the purchaser's responsibility to make precise reservations on the transport documents and to inform IES LABO as soon as possible, with a maximum period of eight days from receipt of the goods.
3.3. Delivery times confirmed by our Sales Administration Department are given as an indication only, unless expressly agreed otherwise between the seller and the buyer.
In the absence of an express commitment, any delay will not give rise to withholding or cancellation of the order.
3.4. Return and exchange: goods cannot be returned or exchanged under any circumstances.
Article 4 - PRICE AND PAYMENT TERMS
Our invoices are issued as soon as the goods are dispatched, in accordance with the order acknowledgement, which lists the references ordered and their prices.
Invoices are payable on the terms agreed with the purchaser. Payment terms are subject to change in the event of non-payment of invoices on the due date.
Cheques are not accepted.
Any delay or non-payment after three reminders will give rise to the application of a late payment penalty based on the 3-month EURIBOR rate to date, increased by 5%, and the seller reserves the right to suspend any new delivery until the delay has been cleared.
Article 5 - RESERVATION OF TITLE
The seller retains ownership of the goods until full payment of the principal and ancillary costs.
In the event of non-payment, the seller reserves the right to demand the return of the goods, transport being at the buyer's expense.
The purchaser must oppose by all legal means any claims that third parties may make on these goods, in particular in the event of seizure or liquidation. The buyer shall also bear all legal costs incurred.
Article 6 - CLAIMS AND GUARANTEES
The seller guarantees that its goods meet the characteristics announced in the technical data sheets and that they comply with French regulations in force on the day of delivery.
Any non-conformity noted by the purchaser must be the subject of a complaint by post or e-mail, within a maximum period of 15 days from receipt.
The seller cannot be held responsible for the use made of these products, particularly when mixed with other products, as the buyer remains the sole master of his own manufacturing process.
The purchaser also undertakes to store the goods in the recommended conditions and in compliance with current regulations.
Article 7 - PRIVACY AND INTELLECTUAL PROPERTY
The buyer may not mention or use the seller's trademarks and logos without the seller's express agreement.
Confidential data such as processes, specifications and commercial data are held in strict confidence by both parties.
Article 8 - PERSONAL DATA
By providing personal data, the buyer accepts that it will be used strictly within the framework of the commercial relationship for the processing of orders.
The buyer has the right to access, modify, rectify and delete data concerning him/her, and may send his/her request to info@ieslabo.com, enclosing a copy of his/her identity document.
Article 9 - APPLICABLE LAW AND JURISDICTION
The present terms and conditions are governed by French law. Any dispute or contestation at any time during the commercial relationship in application of the present terms and conditions will be referred to the Tribunal de Commerce de Manosque, regardless of any special conditions or plurality of defendants.
